Welcome to another insightful edition from Serenity Resource Connector. We had the privilege of hosting Yolande Rowe-Fender from the Companies Office of Jamaica (COJ), shedding light on the critical distinctions between registering a business name and a company in Jamaica. If you missed it, don’t worry — watch the replay here.
Why Business Registration Matters
Business registration in Jamaica is more than just a formality; it's your first step towards building a legitimate, protected, and thriving enterprise. But should you register a business name or form a company? Here’s what you need to know.
Business Licence vs. Business Registration in Jamaica
Many entrepreneurs confuse a business licence with business registration, but they serve different purposes:
Business Licence: This is a permit that allows you to operate in a specific industry or location. It ensures your business meets local regulations for safety, health, and compliance.
Business Registration: This legally recognises your business, allowing you to operate under a specific name and protecting that name from use by others.
Simply having a business licence does not mean your business is registered, and vice versa.
Business Name vs Company: What’s the Difference?
Business Name Registration: Ideal for sole proprietors and partnerships. This registration links the business directly to the owner, meaning there is no legal separation between personal and business assets.
Risk: Your personal assets could be at stake if legal issues arise.
Renewal: Every 3 years.
Company Registration (Limited Liability Company): Offers legal protection for your personal assets. A company is a separate legal entity with perpetual succession, meaning it continues even after the owner’s passing.
Benefit: Limited liability protects your personal assets.
Ongoing Obligation: Must file annual returns.
Who Needs to Register a Business?
If you're offering goods or services under any name other than your legal name, you must register your business. This includes:
Sole proprietors using a trading name (e.g., "John Brown Plumbing Services")
Partnerships and limited liability companies
Small businesses like shops, bars, restaurants, or consulting firms
Failure to register can result in legal penalties and missed business opportunities.
Why Early Registration is Crucial
Waiting too long to register can lead to costly mistakes:
Name Conflicts: Someone else might register your business name first.
Legal Fines: Operating without registration can attract fines of up to JMD 20,000.
Brand Vulnerability: Without legal ownership of your business name, others can legally claim it.
The Registration Process Simplified

Annual Returns: Companies must file annual returns with the COJ to remain in good standing.
